Welcome to Clinicia (referred to as “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the Clinicia software platform (“Software” or “Service”) offered through our web and mobile applications.

By subscribing to or using Clinicia, you (“User”, “Subscriber”, or “you”) agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Eligibility

You must be a licensed medical professional, healthcare provider, or authorized representative of a healthcare institution to use Clinicia. By subscribing, you confirm that all information provided is accurate and truthful, and that you are legally authorized to enter into this agreement.

2. Services Provided

Clinicia provides cloud-based practice management tools, including but not limited to:

  • Appointment scheduling
  • Electronic Medical Records (EMR)
  • Prescription & Billing generation
  • Inventory and expense tracking
  • Patient communication features
  • Analytics and reporting tools
  • WhatsApp and Email integrations

We may enhance, modify, or discontinue features at our discretion without prior notice.

3. Account & Subscription

3.1 Registration

You must register and create an account to access our services. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

3.2 Subscription Plans

Use of Clinicia is subject to a valid subscription plan. Details of pricing, features, and limitations of each plan are listed on our Pricing Page.

3.3 Payments

All subscription fees must be paid in advance. We reserve the right to suspend or terminate access for non-payment.

3.4 Refunds

We offer no refunds for partial usage or unused time unless otherwise stated in writing. Free trials do not require payment.

4. User Responsibilities

You agree to:

  • Use Clinicia only for lawful healthcare-related purposes.
  • Comply with all applicable medical, ethical, legal, and regulatory standards.
  • Obtain appropriate patient consents before storing or sharing their information.
  • Keep your account information updated.
  • Not misuse, resell, or reverse-engineer the platform.

5. Data Privacy & Confidentiality

5.1 Patient Data

All patient data you enter remains your intellectual property. Clinicia does not claim ownership over your clinical or business data.

5.2 Data Security

We use industry-standard encryption and cloud security protocols to protect your data. However, no system is 100% secure, and we cannot guarantee absolute security.

5.3 Data Access

Only authorized users under your account will have access to your data. You are responsible for managing user roles and permissions.

5.4 Backups

We regularly back up your data. However, we recommend exporting key reports or documents periodically for your own records.

6. Data Sharing & Communication Tools

If you choose to share prescriptions, bills, or messages via WhatsApp, SMS, or Email, you are solely responsible for the content and legal compliance of those communications.

Clinicia only facilitates the transmission and does not monitor or alter the content of your shared documents or messages.

7. Intellectual Property

The Clinicia platform, its UI/UX, branding, underlying code, and content (excluding user-generated data) are owned by us or our licensors and are protected under applicable intellectual property laws.

You are granted a non-transferable, non-exclusive license to use the platform during your subscription.

8. Termination

8.1 By You

You may cancel your subscription at any time from your account dashboard or by contacting support. No refunds will be provided for the unused portion of the term.

8.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Non-payment of dues
  • Suspected misuse or abuse of services
  • Required by law

Upon termination, you may request a downloadable copy of your data within 30 days.

9. Limitation of Liability

Clinicia is a tool to support your practice. We do not provide medical advice or take responsibility for clinical decisions made using our platform.

To the fullest extent allowed by law:

  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the last 12 months

10. Indemnification

You agree to indemnify and hold harmless Clinicia, its founders, employees, partners, and affiliates from any claims, liabilities, losses, or legal costs arising out of:

  • Your misuse of the service
  • Breach of these Terms
  • Violation of applicable medical or data protection laws

11. Modifications to Terms

We may update these Terms at any time. Continued use of the platform after such updates constitutes your acceptance of the revised Terms. We will notify you of material changes via email or in-app notifications.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
